Terms of Service

1. Eligibility and Account

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the security of your account and for all activity under your account.

2. Description of Service

QuickScribe AI converts eligible audio recordings you submit (typically by email) into text transcripts and AI-formatted summaries/scorecards. We may update, improve, or modify the Service at any time.

3. Recording Consent and Legal Compliance

You represent and warrant that you have all rights and permissions necessary to submit audio to the Service, including obtaining legally required notice and consent from all recorded parties.

Recording consent laws vary significantly by jurisdiction. Many U.S. states are “two-party” (or “all-party”) consent states, meaning all parties to a conversation must consent before it may be recorded. These states include, but are not limited to, California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, and Washington.

You are solely responsible for determining the applicable law in your jurisdiction and for obtaining all legally required consents before recording and submitting audio to the Service. Benza Enterprises LLC disclaims all liability arising from your failure to comply with applicable recording laws.

4. Acceptable Use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right
• Process content you do not have authority to use
• Transmit malware, spam, or abusive content
• Attempt to reverse engineer, disrupt, or overload the Service
• Use the Service for unlawful surveillance or harassment

5. Subscription, Billing, and Cancellation

Paid features are offered on a monthly subscription basis. Billing is handled by Stripe and subject to Stripe's terms. Unless otherwise stated, subscriptions renew automatically each billing period until canceled.

You may cancel at any time through your account billing settings (“Manage Billing” in your dashboard) or by contacting us at hello@getquickscribe.ai. Cancellation takes effect at the end of the current billing period.

Refund Policy: Subscription fees are non-refundable except: (1) you request a refund within 7 days of initial purchase and have not used the Service; (2) a technical error caused by the Service prevented use; or (3) applicable law requires a refund. California residents may cancel at any time and receive a prorated refund for the unused portion of their billing period upon written request within 30 days.

6. Intellectual Property

The Service, including software, branding, and content we provide, is owned by Benza Enterprises LLC or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service.

7. Your Content

You retain ownership of the audio and other content you submit. You grant us a limited license to process that content solely to provide and improve the Service and comply with legal obligations.

8. Third-Party Services

The Service relies on third-party providers (including Deepgram, Anthropic, Stripe, Resend, Cloudflare, Vercel, and Neon). We are not responsible for outages or failures caused by third-party services.

9. AI Output Disclaimer

Transcripts and AI-generated summaries may contain errors or omissions. You are responsible for reviewing outputs before relying on them for hiring, legal, compliance, or business decisions. The Service is an assistive tool and not legal advice.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BENZA ENTERPRISES LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Benza Enterprises LLC from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you violated these Terms, pose security risk, or if required by law.

14. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Venue for disputes will be in courts located in Nevada, unless otherwise required by law.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
